These terms describe how a partner earns a commission by introducing a brand to Online Mind, operated by Defero GmbH, Munich. Nothing here makes the partner an employee, agent or representative of Defero GmbH, and the partner has no authority to make offers or sign anything on its behalf.
The partner is responsible for getting the first call booked. Online Mind does not approach the brand to arrange it. An introduction counts only when the three steps below are done in this order.
Step 1, register the brand. The partner submits the referral form on the partner page with the brand name, its category or key products, and the contact they know there.
Step 2, wait for our confirmation. Online Mind checks within 2 business days whether the brand is already in its pipeline, prepares a short market snapshot of the brand's seller landscape, and confirms the result by email. The partner may pass the snapshot on to the brand contact unchanged. The partner must not book the call before this confirmation, and a call booked earlier does not count.
Step 3, book the call. After the confirmation, the partner gets the brand contact to book a first call through the Online Mind booking page, either by sending them the link or by booking it together with them. The call has to be in the calendar within 30 days of the confirmation email.
If no call is booked within that time, the registration lapses and the brand can be registered again by anyone. Once the call is booked, Online Mind runs the demo, the scoping and the contract. The partner does not need to explain the product and does not negotiate on Online Mind's behalf.
The commission is the higher of two amounts: a flat EUR 500, or 10% of the net subscription revenue the brand pays Online Mind in its first 12 months as a customer. Revenue means subscription fees only, excluding VAT, one-off services and any amount refunded or credited back. If the brand signs a contract that starts later, the 12 months begin on the contract start date. The commission becomes payable once the customer has paid its first annual invoice, or its first three monthly invoices. If the customer is refunded or cancels before that point, no commission is owed. No commission is owed on renewals after the first 12 months, on upgrades after that period, or on brands that were already in Online Mind's pipeline when registered.
If the customer cancels or is refunded within 90 days of paying an invoice, or a payment is charged back or reversed, the commission related to that payment is not owed. Commission already paid for it must be repaid within 30 days of written notice, or Defero GmbH may offset it against later payouts. Free trials, pilots without a paid subscription and one-off fees do not trigger a commission.
When Online Mind confirms by email that a brand is new, the partner is protected for 6 months from the date of that email, provided the first call is booked as set out in section 2. If the brand becomes a customer within the 6 months, the commission is owed to the partner. If two partners register the same brand, the earlier confirmed registration counts. A brand signing after the window has ended does not trigger a commission.
The partner sends Defero GmbH an invoice for the commission once the customer has paid. Defero GmbH pays the invoice by bank transfer within 30 days of receiving the invoice, once the payment condition in section 3 is met. The invoice must show the partner's full name or company name, address, bank details, tax number or VAT ID where one exists, and VAT where the partner is required to charge it. The partner is responsible for taxes and social contributions on the commission. Defero GmbH may withhold payment until the invoice is complete and correct.
Partners refer other brands, not their own employer. A person who works in-house at a brand cannot be paid for introducing that brand. A person who works at an agency or consultancy may introduce a brand only if the client knows about the introduction and the partner's own employer does not object. Employees of Amazon, and employees of any brand or retailer Online Mind monitors for its customers, are not eligible. The partner confirms in the referral form that none of this applies to the brand being registered.
The partner describes Online Mind accurately and makes no promises about results, prices, discounts or contract terms. Online Mind provides margin transparency and market visibility. Partners must not describe it as a tool for controlling, enforcing or dictating retailer prices, and must not suggest that it can. The partner shares no confidential information about the brand or its dealers beyond what the brand contact has agreed to share, and handles any personal data received in connection with the introduction in line with the GDPR. Online Mind may end a partner's participation immediately if these rules are broken.
The partner does not impersonate Online Mind or suggest a formal partnership, sends no spam or unsolicited mass messages, and does not bid on Online Mind brand names in paid search. Logos and other Online Mind materials may be used only with written approval.
Independent relationship. The partner acts independently. These terms create no employment, partnership, agency or commercial agency relationship, the partner takes no instructions from Defero GmbH, and the partner is free to introduce brands to others.
Ending the partnership. Either side can end it with 30 days' written notice. Defero GmbH can end it immediately if section 6 or 7 is broken. Commission already earned under sections 3 to 5 stays payable, and registrations confirmed before the end date stay protected for their remaining window.
Changes. Defero GmbH may change these terms with 30 days' notice by email. Registrations confirmed before a change keep the terms that applied when they were confirmed.
Liability. Defero GmbH is liable without limit for intent, gross negligence and injury to life, body or health. Otherwise it is liable only for breach of essential duties and only for foreseeable, typical damage. The partner indemnifies Defero GmbH against third-party claims caused by the partner breaking these terms.
Law. German law applies and the UN Sales Convention (CISG) is excluded. Where the law allows it, the place of jurisdiction is Munich.
